According to Faraday Future, the 2023 Annual Shareolders Meeting will be held on April 14, 2023, at 9:00 AM Pacific Time. The annual meeting will be conducted online as a virtual meeting. The company also announced changes to the board of directors, effective March 13, 2023, Matthias Aydt will no longer serve as an FF board member, and the board of directors has appointed Ms. Han Li to replace Matthias Aydt. Matthias Aydt will continue to serve as Senior Vice President of Global Product Execution and focus entirely on the upcoming FF 91 Futurist.
Since January 2022, Ms. Han Li has served as General Counsel for Mirana Corp., a global investment firm focused on third-generation internet (Web3) technology. Ms. Han Li is an experienced business advisor and practicing attorney who has led multi-billion-dollar mergers and capital raising transactions, venture capital, private equity investments, and fund investments. She has extensive experience in overseeing public company disclosure, governance, and corporate compliance plans in the field of law. Ms. Han Li was a partner in the Hong Kong office of O’Melveny & Myers and former General Counsel of Shanda Group. In addition, Ms. Han Li has worked as a lawyer and in other positions at Sullivan & Cromwell LLP and Davis Polk & Wardwell LLP. She holds a Juris Doctor degree from Columbia Law School, a Master’s degree in literature from Peking University, and a Bachelor’s degree in literature from Fudan University.
The following matters will be discussed at FF’s Annual Shareholders Meeting:
- Electing seven directors mentioned in the accompanying proxy statement for terms to expire at the 2024 Annual Meeting of Shareholders.
- Approving the selection of Mazars US LLP as the Company’s independent registered public accounting firm to serve until December 31, 2023.
- Considering any other business that may be properly brought before the Annual Meeting of Shareholders.
The Company provided a more detailed description of the above items in the proxy statement filed with the U.S. Securities and Exchange Commission on March 17, 2023.
Faraday Future recently stated that, subject to timely receipt of funds from the company’s investors and suppliers meeting supply chain requirements, FF plans to commence production of its flagship model, the FF 91 Futurist, on March 30, 2023, at the “FF ieFactory California” manufacturing facility located in Hanford, California. The first batch of cars will roll off the assembly line in early April 2023 and will be delivered to customers by the end of April 2023.
Through the Product and Technology Generation 2.0 (PT Gen 2.0) project, FF is completing final testing and validation of the FF 91 Futurist. The upgrade from PT 1.0 to PT 2.0 includes significant upgrades to systems and core components in the vehicle and I.A.I. (Intelligence, Automated Driving, and Internet) domains. PT 2.0 is achieved through upgrades to 26 major systems and components, 13 of which are key upgrades spanning powertrain, battery, charging, chassis, and interior, while the remaining 13 come from computing, sensing, communication, user interaction, and FF 91 Futurist performance.
